Partnership in fibre-optic expansion: BBH group advises municipal utility Stadtwerke Itzehoe on €40 million project with municipal utility Stadtwerke Neumünster

The BBH group supported the municipal utility Stadtwerke Itzehoe in negotiating and concluding a complex set of agreements with the municipal utility Stadtwerke Neumünster. Both municipal utility companies have partnered to drive the fibre-optic expansion in Itzehoe and the surrounding region. Subject matter of the contractual agreements was the sale of the existing fibre-optic network as well as stipulating the contractual arrangements for the further expansion of the network, which involves an investment volume of more than €40 million.

Stadtwerke Itzehoe and Stadtwerke Neumünster have partnered to drive the fibre-optic expansion in Itzehoe and the surrounding municipalities, aiming to provide every household in the region with a connection to the fibre-optic network. Stadtwerke Neumünster is the operator of the largest fibre-optic network in Schleswig-Holstein. After securing sufficient demand in the pre-marketing phase, the municipal utility company will also assume responsibility for the network and its operation in Itzehoe. The project was initiated by Erik Dittrich, Managing Director of Stadtwerke Itzehoe, and Achim Ritter, Head of Finance and Controlling.

The BBH group advised Stadtwerke Itzehoe throughout the contractual negotiations and supported its corporate bodies during the approval process. The set of agreements included a project development agreement, purchase agreements, a lease agreement and several ancillary agreements. The BBH group can draw on its long-standing and extensive experience in this context. Lawyer and BBH partner Julien Wilmes-Horváth, who heads the telecommunications practice at BBH, acted as lead counsel in the project. He commented: “With many years of experience in the fibre-optic segment, Stadtwerke Neumünster is a strong partner for a network expansion project of this scale with an anticipated investment volume of more than €40 million.” His co-counsel and colleague in the project, BBH partner and lawyer Jan-Hendrik vom Wege added: “For the expansion to proceed, a pre-marketing quota of at least 26 percent will have to be achieved. If this target is reached by spring 2026, Stadtwerke Neumünster will assume responsibility for the network and its operation.”
