Restructuring of municipal healthcare services: BBH assists the foundation Kreisspitalstiftung Weißenhorn in the transfer of its hospital operations to SUAVIA Gesundheit gGmbH

The BBH group advised and assisted the foundation Kreisspitalstiftung Weißenhorn in outsourcing its hospital operations to SUAVIA Gesundheit gGmbH. This structure ensures that the administrative district Neu-Ulm retains its influence at municipal level in the long term, whilst at the same time creating more efficient decision-making processes. The outsourcing process, which was completed in just 18 months, also involved the transfer of over 1,000 employees.

The BBH group successfully assisted the foundation Kreisspitalstiftung Weißenhorn in outsourcing its hospital operations. Since 01/01/2026, the hospitals Stiftungsklinik Weißenhorn and Donauklinik Neu-Ulm as well as the healthcare centre Gesundheitszentrum Illertissen have been run by the newly established SUAVIA Gesundheit gGmbH.

The restructuring planned since 1994 was implemented within 18 months, with the strategic management residing with the foundation and operational responsibility with the operating company. The foundation, as the sole shareholder, remains in control of its basic assets, the capital management and fundamental decisions. At SUAVIA Gesundheit gGmbH, shorter decision-making processes between the management and the supervisory board as the control body enable more efficient hospital operations. The chosen structure ensures that the administrative district of Neu-Ulm, as the authority responsible for the foundation, maintains the desired municipal influence over the provision of healthcare services for the population. At the same time, two operators of medical care centres are currently being merged and brought together under the umbrella of the medical healthcare centre Medizinisches Versorgungszentrum Donau-Iller-Roth gGmbH.

“We are delighted, particularly given the ongoing hospital reform, that we can help shape a sustainable and efficient healthcare system using our expertise in company law, foundation law, employment and labour law, tax law, hospital financing law, municipal law and co-determination law,” states Wolfram von Blumenthal, lawyer and partner at BBH.

“The extremely swift implementation, including the transfer of over 1,000 employees, was made possible by the close cooperation between the foundation’s governing bodies, the members of the AGK, SUAVIA’s management and the relevant authorities,” explains public auditor and tax advisor Tobias Sengenberger, who is also a partner at BBH.

Both would like to thank Dr. Philipp Bacher (drafting and review of contracts, project management), Dr. Max Klein (hospital finance, accounting, project management) and Ms Sandra Schug (employment and labour law) for their comprehensive support.

We are proud to have transformed the hospitals and healthcare facilities in the administrative district of Neu-Ulm into a modern and transparent governance structure through the restructuring of the hospital foundation. That we were able to complete this mammoth project in just 18 months, after more than three decades of preliminary talks, is also thanks to the close and professional cooperation with BBH,” states Torsten Strehle, managing director of SUAVIA Gesundheit gGmbH.
