MUNICIPAL SUPPLY REORGANISED: BBH GROUP ADVISED ON FULL MERGER OF THREE MUNICIPAL UTILITY COMPANIES INTO STADTWERKE WEINSTRAßE GMBH

The BBH group advised and assisted the municipal utility companies of Bad Dürkheim, Deidesheim and Wachenheim with their merger to form the future “Stadtwerke Weinstraße GmbH”. The notarisation on 17 August 2026 marked a significant milestone on the path to a full merger. The new company is expected to be entered in the Commercial Register by the end of the year.

The BBH group provided comprehensive advice to Stadtwerke Bad Dürkheim GmbH, Stadtwerke Deidesheim GmbH and the municipal enterprise Stadtwerke Wachenheim on the implementation of the full merger. The interdisciplinary advice encompassed business valuations to determine the ownership structure and all necessary steps, in particular with respect to corporate transformation law, company law, municipal law, employment and labour law, and tax law, including the consolidation into a fiscal unit. Furthermore, the BBH group also provided comprehensive advice to the municipal bodies. 

Against the background of increasing regulatory and administrative requirements, the shortage of skilled professionals and increasingly complex and expensive IT structures, the full merger offers considerable potential for synergies whilst also strengthening municipal energy supply in the long term.

The joint venture will be operating under the name “Stadtwerke Weinstraße GmbH”. The management team will consist of Dr. Peter Kistenmacher, previously managing director of Stadtwerke Bad Dürkheim GmbH, Alexander Will, previously managing director of Stadtwerke Deidesheim GmbH, and Dieter Panzer, previously works manager of Stadtwerke Wachenheim.
