BBH GROUP ADVISES DIEHL GROUP ON ACQUISITION OF A 24 MW WIND FARM PROJECT IN RHINELAND-PALATINATE

The BBH group advised Diehl Metall Stiftung & Co. KG on the acquisition of a wind energy project by JUWI GmbH. Located in Gundersweiler (Rhineland-Palatinate), the project comprises four wind energy installations with a combined nominal capacity of 24 MW. With this transaction, Diehl Metall secures access to an already approved wind energy project, allowing for a timely implementation.

The BBH group advised Diehl Metall Stiftung & Co. KG on the acquisition of a wind energy project. The acquired wind farm has already obtained regulatory approval. Grid connection has been secured and contractual and real property rights to the site have been formalised. The project is being implemented via a project company, which will be acquired in full by Diehl Metall Stiftung & Co. KG as part of this transaction. Upon completion, the wind farm will contribute to sustainable energy supply and the further integration of renewable energy sources.

The BBH group’s team that advised Diehl Metall Stiftung & Co. KG on the transaction drew on interdisciplinary expertise spanning company law, approval and licensing regulations, grid connection and land law, building and planning law as well as tax law. A major focus was on the legal due diligence as well as the structuring and negotiation of the share purchase and assignment agreement regarding the interests in the project company. The team also designed and negotiated a general contractor agreement for services from planning and development of the wind farm through to turnkey delivery. Karl Ober and Wolff Peterhoff led the transaction management on behalf of the Diehl group.
